These Terms of Use (“Terms”) govern your use of the Upward Exec mobile application and related services (the “App”), provided by Upward Exec LLC, a Florida limited liability company (“we”, “us”). By creating an account or using the App, you agree to these Terms. If you do not agree, please do not use the App.
1. The Service
The App delivers written and occasionally audio messages intended to support and encourage you in your professional and personal life. Messages are prepared by Upward Exec LLC and delivered on a schedule.
The App is provided for general informational and motivational purposes only. It is not professional advice, and it is not a substitute for medical, mental health, legal, financial, or other professional services. Do not disregard or delay seeking professional advice because of something you read or hear in the App. If you are in crisis or may be in danger, contact your local emergency services.
2. Eligibility and Your Account
You must be at least 13 years old to use the App. You are responsible for the accuracy of the email address you provide and for any activity that occurs under your account.
Signing in uses a one-time code sent to your email address. Anyone with access to that inbox can sign in to your account, so please keep it secure. You may delete your account at any time from Settings in the App; deleting your account removes your account information and message history as described in our Privacy Policy.
3. Subscriptions, Billing, and Cancellation
Access to the App may require a paid subscription. Subscriptions are offered as an auto-renewing monthly subscription. The price is shown in the App before you purchase and may vary by country or region.
- Payment is charged to your Apple App Store or Google Play account at confirmation of purchase.
- Your subscription renews automatically each month unless auto-renewal is turned off at least 24 hours before the end of the current period.
- Your account is charged for renewal within 24 hours before the end of the current period, at the price then in effect.
- You can manage your subscription and turn off auto-renewal at any time in your Apple App Store or Google Play account settings.
- Cancelling stops future renewals. It does not end the current paid period, and partial periods are not refunded except where required by law or by the store’s own policies.
All purchases are processed by Apple or Google, not by us. Refunds are handled by the store you purchased through, under its policies; we cannot issue refunds on their behalf. Deleting your account in the App does not cancel your subscription — you must cancel it in your store account settings.
We may change subscription pricing. Any change applies to future renewal periods, and where the stores require it you will be asked to consent before a changed price takes effect.
4. Complimentary and Gift Access
We may grant complimentary access, or issue gift codes that provide access for a period of time. Complimentary and gift access is provided at our discretion, carries no cash value, and may be ended by us at any time. Gift codes may be redeemed only once.
5. Acceptable Use
You agree not to: share your account with others; copy, redistribute, publish, or sell content from the App; attempt to access the App by any means other than the interface we provide; interfere with or disrupt the App or its infrastructure; or use the App in violation of any applicable law.
6. Content and Intellectual Property
All messages, text, audio, images, and other materials in the App are owned by Upward Exec LLC or its licensors and are protected by copyright and other laws. While your account is active, we grant you a personal, limited, non-exclusive, non-transferable licence to access and use the content for your own personal, non-commercial use. No other rights are granted.
7. Availability and Changes
We aim to keep the App available and to deliver messages on schedule, but we do not guarantee uninterrupted or error-free service. We may modify, suspend, or discontinue features, and we may change these Terms. Material changes will be reflected by updating the “Last updated” date above and, where appropriate, by notice in the App. Continuing to use the App after a change means you accept the updated Terms.
8. Suspension and Termination
You may stop using the App at any time and delete your account from Settings. We may suspend or terminate access if you breach these Terms or if we reasonably believe your use harms the App or other users. If we terminate your access without cause while you hold a paid subscription, your remedy is limited to the unused portion of that subscription, obtained through the store you purchased from.
9. Disclaimers
The App and its content are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will meet your requirements, that messages will be delivered without delay, or that the App will be free of errors.
10. Limitation of Liability
To the fullest extent permitted by law, Upward Exec LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from or related to your use of the App. Our total liability for any claim relating to the App will not exceed the amount you paid us for the App in the twelve months before the claim arose.
Some jurisdictions do not allow certain limitations of liability or exclusions of warranty, so some of the above may not apply to you. In that case, our liability is limited to the smallest extent permitted by applicable law.
11. Apple and Google
These Terms are between you and Upward Exec LLC, not with Apple or Google. Apple and Google are not responsible for the App or its content and have no obligation to provide support for it. If the App fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App. Apple and Google are third-party beneficiaries of these Terms and may enforce them against you.
12. Governing Law
These Terms are governed by the laws of the State of Florida and the applicable federal laws of the United States, without regard to their conflict-of-law rules. Nothing in these Terms limits any consumer-protection rights you have under the laws of the country in which you live.
